Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SPNX website, any account you create on it, and the products, tools, platforms, and services made available through it (together, the "Services"). They form a binding agreement between you and SPNX.

By creating an account, signing in, or otherwise using the Services, you confirm that you have read and accept these Terms. If you do not accept them, you must not use the Services.

If you are using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" in these Terms means that organisation.

These Terms incorporate by reference our Privacy Policy, which explains how we handle personal data, and our Disclaimer, which sets out content limitations, intellectual property notices, and the limits of any client or advisory relationship with SPNX.

Where a separate written agreement — a statement of work, master services agreement, or engagement letter — has been signed between you and SPNX for a specific engagement, that agreement governs that engagement and prevails over these Terms to the extent of any conflict.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. The Services are intended for business and professional use, not for consumers acting outside a trade or profession.

You agree to provide accurate and complete information when registering and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorised it.

You must notify us promptly at human001@spnx.ai if you become aware of any unauthorised use of your account or any other breach of security. SPNX may suspend or close an account where we reasonably believe it has been compromised or used in breach of these Terms.

Subject to your compliance with these Terms, SPNX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your internal business purposes.

This is a licence to use, not a transfer of title. Except as expressly permitted in these Terms or by applicable law, you may not copy, modify, adapt, translate, publish, distribute, sell, licence, or create derivative works from any part of the Services; decompile, disassemble, or reverse engineer any software forming part of the Services; remove or obscure any proprietary notice; or use any automated means to extract, scrape, or index content from the Services.

You agree not to use the Services to: break any applicable law or regulation; infringe the intellectual property, privacy, or other rights of any person; upload or transmit malicious code, or anything unlawful, defamatory, or harmful; gain or attempt to gain unauthorised access to the Services, any account, or any connected system; interfere with or place an unreasonable load on the Services or the networks that carry them; or resell, white-label, or otherwise make the Services available to third parties without our prior written consent.

You also agree not to use the Services, or any output from them, to build or train a competing product or service, or to benchmark them for publication, without our prior written consent.

You retain all rights in the data, documents, and other material you submit to the Services ("Your Content"). You grant SPNX a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display Your Content strictly to the extent necessary to provide, secure, support, and improve the Services for you, and to comply with law.

You confirm that you have the rights and permissions necessary to submit Your Content and that doing so does not breach any law, confidentiality obligation, or third-party right.

SPNX will handle any personal data within Your Content in accordance with our Privacy Policy and applicable data protection law.

The Services, and all content, software, source code, designs, methodologies, frameworks, benchmarks, models, and documentation within them, are owned by SPNX or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any ownership to you.

SPNX, the SPNX logo, EvolveIT by SPNX, Bench. by SPNX, Agentic Swarm Intelligence, AI Academy, and other marks, names, and logos used in the Services are trademarks or trade names of SPNX or its affiliates. You may not use them without our prior written consent. Third-party marks appearing in the Services remain the property of their respective owners.

If you send us feedback, suggestions, or ideas about the Services, you grant SPNX a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.

Parts of the Services produce output from artificial intelligence systems. AI output is generated automatically, may be incomplete or inaccurate, and must not be treated as professional, legal, tax, audit, financial, or regulatory advice.

You are responsible for reviewing AI output before relying on it or acting on it, and for ensuring that any use of it complies with the laws, professional standards, and internal policies that apply to you. Similar inputs may produce different output for different users, and SPNX does not warrant that any particular output is unique, reproducible, or fit for a specific purpose.

The Services may integrate with, link to, or depend on third-party products, platforms, and content that SPNX does not control. Your use of a third-party service is governed by that provider's own terms and privacy policy, not by these Terms.

SPNX does not endorse and is not responsible for third-party services or content, including their availability, accuracy, security, or the consequences of your use of them.

Some parts of the Services are made available free of charge; others are provided on a paid or subscription basis. Where fees apply, they are set out in the applicable order form, statement of work, or subscription plan agreed between you and SPNX.

Unless that document states otherwise, fees are exclusive of taxes, duties, and withholdings, which you are responsible for paying; invoices are payable within the period stated on them; and fees already paid are non-refundable except where required by law or expressly agreed in writing.

SPNX may change its fees on reasonable prior notice. A change takes effect at the start of your next renewal term, and you may decline it by not renewing.

SPNX aims to keep the Services available and working, but does not warrant uninterrupted or error-free operation. The Services may be unavailable during planned maintenance, or as a result of faults, third-party failures, or events outside our reasonable control.

SPNX may modify, add to, suspend, or discontinue any part of the Services, including any feature, dataset, or integration. Where a change would materially reduce the core functionality of a paid service, we will give you reasonable prior notice.

Each party may receive non-public information from the other that is identified as confidential or that a reasonable person would understand to be confidential. The receiving party will use that information only for the purposes of these Terms, will protect it with at least the care it applies to its own confidential information, and will not disclose it except to personnel and advisers who need it and are bound by equivalent obligations.

These obligations do not apply to information that is or becomes public without breach, was already lawfully held, is independently developed, or must be disclosed by law or a competent authority — in which case the receiving party will, where lawful, give prior notice.

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", and SPNX disclaims all warranties, conditions, and representations, whether express, implied, or statutory — including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.

SPNX does not warrant that the Services will meet your requirements, that any content, benchmark, or output will be accurate or complete, or that defects will be corrected.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, SPNX, its affiliates, partners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profit, revenue, business, goodwill, anticipated savings, or data, arising out of or in connection with the Services, whether in contract, tort (including negligence), or otherwise, and whether or not SPNX was advised of the possibility of such loss.

SPNX's total aggregate liability arising out of or in connection with these Terms shall not exceed the amount you paid to SPNX for the Services in the twelve months immediately preceding the event giving rise to the claim, or, where you have paid nothing, shall be limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

You agree to indemnify, defend, and hold harmless SPNX, its affiliates, partners, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense — including reasonable legal fees — arising out of or in connection with your use of the Services, Your Content, your breach of these Terms, or your violation of any law or third-party right.

These Terms apply for as long as you use the Services. You may stop using the Services and close your account at any time.

SPNX may suspend or terminate your access, in whole or in part, where you materially breach these Terms, where we are required to do so by law, or where continued provision would create a security, legal, or regulatory risk. Where it is reasonable and lawful to do so, we will give notice and an opportunity to remedy first.

On termination, your licence to use the Services ends immediately. Sections that by their nature should survive — including intellectual property, confidentiality, no warranty, limitation of liability, indemnification, and governing law — continue to apply.

These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of India, without regard to conflict-of-law principles. The courts of New Delhi, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Services.

Where you access the Services from another jurisdiction, you are responsible for complying with the local laws that apply to you, to the extent they apply.

SPNX may update these Terms from time to time to reflect changes in our services, our business, applicable law, or industry practice. When we make material changes, we will revise the "Last updated" date at the top of this page and, where appropriate, notify you through the Services or by email.

Your continued use of the Services after a change has been published constitutes acceptance of the updated Terms. If you do not accept them, you must stop using the Services.
